2. Scope of Applicability & Bilateral Agreements
2.1 Applicability to Website & Online Offerings (Web Helper)
These Terms of Use ("Terms") govern the use of the website webhelper.ai and any associated digital content, publications, interactive assessments, downloads, software tools, or online services provided under Web Helper (collectively, the "Online Offerings"), operated by Dal Molin Consulting GmbH ("Operator", "we", "us"). Web Helper provides a browser extension and web workspace for structured webpage inspection and formatting into JSON, Markdown, and CSV.
2.2 Acceptance & Modifications
By accessing the website webhelper.ai or using the Online Offerings of Web Helper, you agree to these Terms specifically for Web Helper. Our offerings are intended for business, professional, and commercial users (and individuals aged 18 or older). We reserve the right to update these Terms or modify, expand, gate, or discontinue any part of the Online Offerings at any time with effect for the future.
2.3 Informational Nature of Content & Automated Outputs
All articles, publications, benchmarks, automated scores, templates, and AI-assisted outputs made available through our Online Offerings are provided for general informational and operational support only. They do not constitute binding legal, tax, financial, or individualized management advice.
2.4 Separate Bilateral Agreements & Order of Precedence (Mandates, Matchmaking, Partner & NDA Agreements)
Accessing our websites, downloading publications, or submitting an inquiry or online assessment does not by itself establish a consulting mandate, brokerage/matchmaking relationship, or commercial partnership. Specific bilateral engagements—including consulting or engineering mandates, sourcing and matchmaking agreements, ambassador, referral, or client-partner agreements (governing introductions, rights, obligations, and sales commissions), custom enterprise subscriptions, and Non-Disclosure Agreements (NDAs)—require a separate written agreement between you and Dal Molin Consulting GmbH. In the event of any conflict between a signed bilateral agreement and these general Terms of Use, the provisions of the signed bilateral agreement shall prevail.
3. Forms, Gated Content, User Accounts & Subscriptions
3.1 Forms, Assessments & Gated Downloads
Certain resources on webhelper.ai—such as whitepapers, benchmark reports, interactive surveys, or online assessments—may require you to submit contact or business details (e.g., name, work email, organization). You agree to provide accurate and current information and not to use disposable or impersonated addresses.
3.2 User Accounts & Single Sign-On (Where Offered)
Where Web Helper offers user accounts, authentication is powered by the unified identity infrastructure of Dal Molin Consulting GmbH (supporting email login or third-party Single Sign-On such as Google or LinkedIn). While your login credentials may be used across platforms operated by Dal Molin Consulting GmbH, your acceptance of these Terms and any optional communication preferences apply specifically to Web Helper. You are responsible for maintaining the confidentiality of your credentials and all activities occurring under your session.
3.3 Paid Subscriptions, Free Trials & Cancellation (Where Offered)
Where Web Helper offers paid plans, credits, or subscriptions:
- Billing & Auto-Renewal: Recurring subscriptions are billed in advance according to the selected billing cycle and renew automatically unless canceled prior to the end of the current billing period via your account workspace or by written notice.
- Pricing & Taxes: Stated fees are exclusive of applicable value-added tax (VAT) or sales taxes unless explicitly noted otherwise. We may adjust subscription fees for future billing cycles with reasonable prior notice.
- No Refunds: Except where mandatorily required by applicable law or agreed in a separate written contract, paid fees are non-refundable and no prorated credits are issued for partially used billing periods.
4. Intellectual Property, License & User Inputs
4.1 Operator Intellectual Property
All rights, title, and interest in Web Helper and webhelper.ai—including software code, algorithms, extraction schemas, assessment methodologies, visual design, trademarks, and publications—remain the exclusive property of Dal Molin Consulting GmbH or its licensors.
4.2 Limited License
Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable license to access webhelper.ai and use Web Helper solely for your own internal business or professional operations. You may not resell, white-label, frame, reverse-engineer, decompile, or systematically copy our software, publications, or methodologies without prior written consent.
4.3 User Inputs, Assessments & Feedback
You retain ownership of the business data and content you submit ("User Inputs"). By submitting User Inputs, survey responses, or feedback, you grant Dal Molin Consulting GmbH a worldwide, royalty-free right to process, host, and analyze such inputs to deliver the requested service and—in aggregated or de-identified form—calibrate, benchmark, and improve our algorithms, benchmarks, and services.
5. Acceptable Use & Product-Specific Rules
5.1 General Acceptable Use
You agree not to misuse webhelper.ai or Web Helper, interfere with security or rate limits, probe or circumvent authentication mechanisms, transmit malicious code, or use our offerings in violation of applicable Swiss or international laws. We reserve the right to suspend or terminate access immediately in the event of a violation.
5.2 Web Helper — Browser Extension & Web Formatting Rules
When using the Web Helper Chrome Extension and workspace, the following additional rules apply:
- User-Initiated Single-Tab Utility: Web Helper is provided as an interactive, human-in-the-loop productivity and formatting utility for webpages that you have legitimately opened and are authorized to view in your browser.
- User Responsibility for Third-Party Terms & Data Protection: You act as an independent user (and, where applicable, data controller) of the webpages you inspect and export. You remain solely responsible for ensuring that your capture, export, storage, or downstream transfer of webpage data complies with the Terms of Service of the respective websites and with applicable data protection laws (Swiss revDSG, EU GDPR).
- Prohibition of Automated Bulk Harvesting & Circumvention: Using Web Helper for unattended automated crawling, bulk pagination loops, bypassing authentication barriers or technical access controls, or unlawful commercial redistribution of third-party database records is prohibited.
6. Disclaimer of Warranties

6.2 Third-Party Systems & Availability
We do not warrant that our Online Offerings will be uninterrupted, error-free, or compatible with third-party websites, browsers, or APIs, which may change their structure or availability at any time without notice.
7. Limitation of Liability & Indemnification
7.1 Exclusion of Indirect & Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY SWISS LAW (IN PARTICULAR ART. 100 OF THE SWISS CODE OF OBLIGATIONS), DAL MOLIN CONSULTING GMBH AND ITS MANAGING DIRECTORS, EMPLOYEES, AND AUXILIARIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) OUR WEBSITES OR SERVICES.
7.2 Liability Cap
Where liability cannot be excluded by law (and unless otherwise agreed in a signed bilateral contract), the total aggregate liability of Dal Molin Consulting GmbH for any and all claims shall be strictly limited to the total amount actually paid by you to Dal Molin Consulting GmbH for the specific service during the three (3) months immediately preceding the event giving rise to liability (or CHF 100 if no fees were paid).
7.3 Indemnification by User
You agree to defend, indemnify, and hold harmless Dal Molin Consulting GmbH from and against any third-party claims, liabilities, damages, losses, and reasonable legal fees arising out of or relating to: (a) your breach of these Terms, (b) your User Inputs or exported data, or (c) your violation of any applicable law, data protection regulation, or third-party terms or rights.
8. Governing Law, Severability & Jurisdiction
8.1 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid rule that comes closest to the economic purpose of the original clause.
8.2 Applicable Law & Exclusive Place of Jurisdiction
These Terms and all legal relations between you and Dal Molin Consulting GmbH are governed exclusively by substantive Swiss law, excluding its conflict-of-laws provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes is the registered seat of Dal Molin Consulting GmbH in Cham (Canton of Zug), Switzerland, subject to Dal Molin Consulting GmbH's right to bring legal action at the user's domicile.
